YZi Labs questions 10X Capital for holding over 5% of CEA Industries without disclosure, demanding submission of SEC documents for explanation.

According to Coinworld News, YZi Labs issued a statement saying that the company’s latest documents show that 10X Capital Asset Management LLC and its affiliates may have held more than 5% of the company’s issued common shares by the end of 2025, but have not yet submitted the Schedule 13D disclosure documents required by the U.S. Securities and Exchange Commission (SEC). YZi Labs pointed out that according to the company’s publicly disclosed warrant exercise data, about 2.376 million warrants have been exercised, accounting for about 5.39% of the company’s issued shares. YZi Labs said it did not exercise the relevant warrants itself, so it is speculated that this part of the shares is primarily from 10X-related entities. The statement also said that 10X and the company’s director Hans Thomas have not publicly stated their shareholding ratio and have not submitted relevant shareholding disclosure documents as required. YZi Labs calls on interested parties to clarify their holdings as soon as possible and disclose whether there are “related holding groups” that are required to be disclosed under Section 13(d)(3) of the Securities Exchange Act.
